Collectively, they establish the agreement between you and Joven Health that govern your access and usage of our websites, content, services, and products. You may be required to agree to additional terms when signing up for relevant 3rd party services.

JOVEN HEALTH IS NOT AN EMERGENCY MEDICAL SERVICE OR CRISIS RESPONSE SERVICE.

Please see the following if you or someone you know is in a crisis situation or in need of mental health support:

1. Definitions

Some terms used in these Terms and Conditions, Privacy Policies, and other associated policies have a very specific meaning. Definitions of these terms are laid out below.

These Terms…Have generally the same meaning as…
“Agreement”Terms and Conditions, Privacy Policies and other associated policies.
“Content”All information, software, text, graphics, images, video, audio, features, design, functionality and arrangement thereof included in the Services.
“Joven Health””we””us””our”Social Fabric, LLC, d/b/a Joven Health, a Colorado Limited Liability Company.
“Patient”The individual assigned to receive Therapy from a Provider.
“Provider”A mental health professional or speech therapist licensed to provide clinical mental health services, in agreement and good standing with Joven Health and either assigned, or available for assignment to provide Therapy to the Patient.
“Services”Any and all websites, applications, products, and services provided by Joven Health and associated Therapy Providers.
“Terms”These Terms and Conditions.
“Therapy”Professional mental health services or counseling or speech therapy services.
“you””your””yourself””Customer””User”The individual user and/or their legal entity consenting to this Agreement and use of Joven Health Services.

2. About

These Terms and Conditions shall govern a binding agreement between you and Joven Health. You need to consent to be bound by this agreement if you want to use Joven Health websites, products, or services, so please read it carefully.

By using our services, you acknowledge that you have read, understand and agree to all Terms and Conditions, Privacy Policies, and other policies (collectively, the “Agreement”) of this Agreement. Your rights and obligations while using Joven Health services are established by this Agreement.

If you do not agree to be bound by this Agreement, you are not authorized to use Joven Health services and must stop using them immediately.

BY AGREEING TO THIS AGREEMENT AND/OR USING OUR SERVICES, YOU ARE ALSO AGREEING TO THE FOLLOWING POLICIES. THESE POLICIES ARE INCORPORATED INTO THESE TERMS AND ARE PART OF THE AGREEMENT. THE SAME RULES REGARDING CHANGES AND REVISIONS OF THIS AGREEMENT ALSO APPLY TO THESE POLICIES. PLEASE READ THEM CAREFULLY.

  • 3rd party therapy platform terms & conditions – you’ll be prompted to agree with these terms when you sign up for our 3rd party therapy platform.

You hereby certify that you meet the following qualifications:

  • You consent to this Agreement. You must meet at least one of the following qualifications, as required by law:
    • You are over the age of 18 years
    • You have consent from a valid legal entity
    • You have the legal ability to consent for yourself
  • You either are a resident or are physically located in the country and state you selected in your account profile.

When using Joven Health Therapy services, you agree to share certain contact information with your assigned Provider, for use in the case of an emergency or mental health crisis. You acknowledge that any such information about you or your family, such as ages, residence, contact information, is accurate and truthful. Providers count on this information during an emergency, so it’s important for you to ensure it’s accurate. Acceptance of this agreement, either explicitly or by access or use of our Services, is acknowledgement that any of this information you have provided or do provide in the future is accurate.

3. Acceptable Use

Joven Health Content is not medical advice. Any medical advice should come solely and directly from your assigned Provider or other medical professional responsible for you and/or the Patient’s medical care. You are responsible to speak with a medical professional if you have any questions, concerns, or advice related to diagnosis, treatment, medications, products, procedures or tests.

Some Joven Health Services require you to make an account and provide us with certain information necessary to provide the Services. You can find out more about what information our different Services collect, why we need it, and how we use it in the Privacy Policies listed above.

By accepting this Agreement, you also agree to consent of the following terms of use:

  • You may create an account for yourself.
  • You may, with their permission, create an account for a person for whom you can legally consent to this Agreement.
  • You may not create accounts for any other person than listed above.
  • You will not create duplicate accounts for the same person.
  • You will only provide true, accurate, and up-to-date information.
  • You will not sign up for an account, post comments, or send messages under a false name.
  • You will not attempt to gain unauthorized access to any user accounts, computer systems or computer networks. You agree not to attempt hacking, password mining, or any other method of gaining unauthorized access.
  • You will not attempt to access or use the Services through use of a robot, scraper, or other such means.
  • You shall not post, use, store, or transmit unlawful or unethical information. You are solely responsible for this information associated with your account. This includes any information that is reasonably suspected to be:
    • explicit, illegal, fraudulent, harassing, libelous, defamatory, threatening or hateful to any person or group
    • in violation or infringement of intellectual property or publication rights of others
    • in violation of the privacy rights of others
    • predatory of minors
  • You will maintain confidentiality of sensitive account information, such as your username and password. Joven Health is not responsible for any loss incurred as a result of your credentials being compromised, including someone else accessing or using your account, with or without your knowledge.
  • You will not access or use the Services in any manner that may be unlawful, illegitimate, or otherwise in violation of this Agreement.
  • You will interact with any entity related to the Services (e.g. Providers, employees, other customers, affiliates, and so forth) in a manner that is legal, respectul, and aligned with established and endorsed community guidelines.
  • You will not attempt to disrupt the operation of the Services or use the Services in any way that could damage, disable or impair the Services. You agree not to attempt to install viruses, Trojan horses, worms, time bombs, denial of service attacks, flooding or spamming.
  • You may be subject to additional terms to receive additional Services, as established when signing up for those additional Services.

Failure to consent to any of these rules shall constitute a breach of the Agreement, subject to immediate termination, as described in the Termination section of the Terms.

4. Privacy

Joven Health may collect certain personal information through access or use of the Services. Joven Health will implement reasonable procedures to protect your information in compliance with applicable law and applicable Joven Health privacy policies listed in this document and at https://jovenhealth.com/privacy.

5. Intellectual Property

Joven Health Services, Content, and this Agreement are protected by United States and international intellectual property laws (e.g. copyright, trademark, patent, trade secrets). You must not attempt to reverse engineer our software code, or otherwise attempt to steal any intellectual property related to our Content or Services.

This Agreement grants you personal, non-exclusive, non-transferable, revocable license to access and use our Services. You may only access and use our Services for yourself, or for the person for whom you have consent to access from a valid legal entity. You may use our Services only for non-commercial purposes.

You must not download, reproduce, republish, distribute, modify, or create derivative works of our Services or Content, except through enabled and endorsed features (e.g. installing a mobile application, clicking a “share” or “download” button, built-in web browser features like cookies).

You must not reproduce or modify any of our copy, content, branding, illustrations, graphics, photographs, videos, audios or other Content for any reason and you must not distribute them except through enabled and endorsed features. You must not remove copyright, trademark, or other proprietary rights notices from any of our Content or Services.

6. Payments

Any payments you make to use the Services is used to compensate Joven Health for software development, overhead, administration, transaction fees, and other corporate costs. Some Services may remit part of your payment to our Providers for providing direct Therapy services to you.

Our Services may or may not be offered with a free trial. When any trial is complete, you may lose access to some or all of those Services included with the trial and your account may be frozen and inaccessible unless you pay in advance for additional access and usage.

Our Services may or may not be offered as part of a subscription and/or bundle of Services. You authorize us to charge your account according to the terms described in the subscription or bundle.

You may upgrade or downgrade your services at any time. Upgrades to your Services require immediate payment of the difference of price from your existing Services and the upgrade is effective immediately. Downgrades to your Services do not constitute a refund of any kind and the downgrade will take effect on your next billing cycle. Joven Health does not accept any liability for any loss incurred due to changes in Services because of an upgrade or downgrade to your account.

All fees listed on our Content or Services are exclusive of taxes and other fees. You are responsible for payment of any associated taxes, levies, duties, or other fees.

You agree to pay your account charges in a timely fashion. You authorize Joven Health to charge the authorized credit card associated with your account as payment for Services and all associated taxes & fees. You agree to keep your credit card information up-to-date and you agree that lack of payment due to credit card processing failure may cause changes to your account, including possible downgrading or termination.

7. Refunds

We will issue a full refund for any reason if you request one within 24 hours of your purchase. After 24 hours, we may issue a refund of any amount up to a full refund, or no refund at all, decided at our full discretion. If you have received Therapy or other Services from our Providers, we may not issue a refund for the allocation of your payment issued to the Provider.

If your refund results in insufficient payment for access and usage of Services, you will immediately lose access to those Services and you may incur additional fees to reactivate your access.

8. Needs-Based Programs

In order to provide counseling services to as many children as possible, Joven Health may offer needs-based programs from time to time. These programs may include free or discounted access to our Services, free or discounted services and/or devices that allow access to our Services (e.g. phones, laptops, webcams, internet reimbursement, etc), or special programs related to current social issues (e.g. COVID-19 hardships, racial issues, gender issues, etc). These programs may be made available to a limited number of certain individuals who meet a particular set of criteria. You are free to apply to any of these programs; however, if you fail to meet the criteria for a given program, you may be denied for the program. These programs may also require your acceptance of additional terms, agreements, or waivers.

9. Disclaimers & Limitations of Liability

Access to our Services and Content is provided “as is,” without any warranty, express or otherwise. Joven Health disclaims all warranties of any kind to the fullest extent allowed by law. If any of these warranties are excluded by applicable laws in your jurisdiction, they do not apply to you.

We are not responsible for any errors or omissions in our Services or Content. Our Providers, Services and Content may promote or share products or services provided by third parties (e.g. a link to an external website on a blog post, or your Provider recommending an external tool); access and use of these third party products or services is at your sole discretion. We, our Providers, associates, and affiliates make no warranties and accept no liability for losses incurred as a result of access or usage for third party products or services.

We make no guarantee that our Services will be uninterrupted, free of defects, or that any such instances will be corrected. You accept sole risk for your reliance on access and use of any Services or Content.

We make no guarantee that our employees, Providers, or affiliates will respond to any messages or other interaction with our Services.

Joven Health may make changes to Services, Content, and this Agreement from time to time, potentially ending your ability to use Services either permanently or temporarily. We may not provide prior written notice of such changes to you.

10. Disputes

You agree to resolve any disputes or claims that arise as a result of your access and use of our Services or Content by binding confidential arbitration in the state of Colorado. Joven Health and you both waive any right to a jury trial. You agree that any such dispute or claim will be conducted on an individual basis, not as a class, consolidation or representative dispute or claim.

11. Termination

Joven Health reserves the right to change, suspend, or discontinue, permanently or temporarily, your access and usage of all or any part of the Services, with or without prior notice and for any reason or no reason at all. We have the right (but not the obligation) to refuse access or usage of our Services to any person or organization at any time, for any reason or no reason at all, in our sole discretion.

12. Modifications

We may revise this Agreement from time to time. The changes will not be retroactive, and the most current version of the Agreement, which will always be at https://jovenhealth.com/terms, will govern our relationship with you. We will try to notify you of material revisions, for example via an email to the email associated with your account. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the revised Terms.
